information submitted, uploaded, stored, or made available by you or your authorized users.
You retain ownership of your Customer Content, subject to the rights necessary for us to provide the services.
You grant Upendo Ventures a limited, non-exclusive, worldwide license to host, copy, transmit, display, process,

- Provide and support the services;
- Host and display your website;
- Perform migrations and backups;

You own your content, domain name, business information, and other materials that you independently provide to
us, subject to applicable third-party rights.
Upendo Ventures and its licensors own all rights in:

Unless an applicable written agreement states otherwise, custom features, reusable components, platform
improvements, technical methods, and underlying software remain owned by Upendo Ventures.
10. Limited License
Subject to your compliance with these Terms and payment of applicable fees, Upendo Ventures grants you a limited,

11. Custom Work and Professional Services
Custom development, integrations, dashboards, reports, client portals, mobile applications, migrations, strategy,
training, consulting, and other professional services may be governed by a separate statement of work.

hosting agreement, or other written agreement.
Unless otherwise agreed in writing:
- Fees are based on the services purchased;
- Fees are exclusive of applicable taxes;
- You are responsible for taxes associated with your purchase;
- Fees are nonrefundable except where expressly stated or required by law; and
- Existing charges and remaining committed-period fees remain payable after cancellation.
runsonUpendo may update pricing for future purchases, renewal periods, or additional services. Pricing changes
will not retroactively alter a written agreement unless the agreement permits such changes.

You may request cancellation at any time, subject to the terms of any applicable written agreement.
Cancellation does not automatically eliminate:
- Charges already incurred;
- Approved work already performed;
- Nonrefundable implementation fees;

- Taxes;
- Outstanding balances; or
- Other obligations that survive termination.
Either party may terminate an applicable agreement for a material breach that remains uncured after written

the services.
Unless an applicable agreement provides a different period:

- We may provide Customer Content in a reasonably usable file format;
- We are not required to export proprietary software, source code, platform architecture, reusable components,
or Upendo materials;
- We are not required to recreate a third-party platform or provide an identical technical environment; and

- Security practices;
- Availability limitations;
- Fees;
- Usage requirements; and
- Technical dependencies.
Upendo Ventures is not responsible for third-party services that it does not control.
You are responsible for reviewing and complying with applicable third-party terms.

If you provide suggestions, ideas, recommendations, feature requests, or other feedback, you grant Upendo
Ventures the right to use, reproduce, modify, publish, distribute, and otherwise use that feedback without
restriction or compensation.
You are not required to provide feedback, and we are not required to implement it.
18. Confidentiality
Each party may receive confidential information from the other party.
The receiving party will:
- Use confidential information only for legitimate purposes related to the relationship;
- Protect it using reasonable care;
